Terms of Service

These Terms of Service (“Terms”) form a binding legal agreement between you (“you,” “user”) and Lyrin AI, Inc. (“Lyrin,” “we,” “our,” or “us”) governing your access to and use of our website, mobile application, software, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Eligibility and Authority

You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement, and if under the age of majority in your jurisdiction, that you have obtained parental or legal guardian consent. We may suspend or terminate accounts at our sole discretion if eligibility requirements are not met.

2. Account Responsibilities

You are responsible for all activity occurring under your account. You must keep your login credentials secure and notify us immediately of any unauthorized use. We are not responsible for losses caused by unauthorized access resulting from your failure to safeguard credentials.

3. License to Use the Service

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes, subject to these Terms. We may revoke this license at any time, with or without cause.

4. Intellectual Property

All content, features, designs, software, algorithms, data, and other intellectual property in the Service (excluding User Content) are owned by Lyrin or its licensors and are protected under copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from any portion of the Service without our prior written consent.

5. User Content and Broad License to Lyrin

You retain ownership of content you submit, upload, or transmit to the Service (“User Content”). However, you grant Lyrin and its affiliates a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to:

  • Use, reproduce, adapt, modify, translate, distribute, publicly display, publicly perform, create derivative works from, and otherwise use User Content in any form and for any purpose, including commercial purposes, advertising, training AI models, and developing new products or services.
  • Combine User Content with other content or data for any use.

You waive any moral rights or rights of attribution in User Content to the extent permitted by law.

6. Data and AI Model Training Rights

In addition to our Privacy Policy, you agree that we may collect, retain, analyze, and use any data (including anonymized speech, text, and interaction data) for any purpose, including:

  • Training, testing, and improving AI models.
  • Creating new commercial products, features, or services.
  • Sharing anonymized or aggregated datasets with third parties.

These rights survive termination of your account.

7. Prohibited Conduct

You must not:

  • Use the Service for illegal, harmful, or abusive purposes.
  • Harass, threaten, or exploit others.
  • Upload content that infringes third-party rights or violates applicable law.
  • Interfere with, disrupt, or circumvent security features.
  • Use automated tools, bots, or scrapers without our prior consent.
  • Attempt to reverse engineer or derive source code from the Service.

8. Service Modifications and Discontinuation

We may, at any time and without notice, modify, suspend, or discontinue any part of the Service, including paid features. We are not liable for any modification, suspension, or discontinuation.

9. Subscriptions, Billing, and Refunds

  • Subscriptions automatically renew unless canceled before the renewal date.
  • We may change prices, billing methods, or subscription tiers at any time with notice. Continued use after changes constitutes acceptance.
  • All fees are non-refundable except where required by law.

10. No Guarantee of Results

You acknowledge that the Service is for educational purposes only. We make no guarantees regarding learning outcomes, fluency, test scores, or other measurable results.

11. “As Is” and No Warranties

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, data, goodwill, or business opportunities.
  • Our total liability to you for any claim will not exceed the greater of: (a) the amount you paid to Lyrin in the six months preceding the claim, or (b) USD $50.

13. Indemnification

You agree to defend, indemnify, and hold harmless Lyrin, its officers, directors, employees, contractors, and affiliates from all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Service.
  • Your User Content.
  • Your violation of these Terms or applicable law.

14. Governing Law, Arbitration, and Class Action Waiver

  • These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.
  • Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, held in Delaware.
  • You waive any right to participate in a class action, collective action, or class-wide arbitration.

15. Export and Compliance

You represent that you are not located in a country subject to U.S. or Canadian trade sanctions and that you are not on any government-prohibited list. You agree to comply with all applicable export control laws and regulations.

16. Changes to These Terms

We may modify these Terms at any time by posting an updated version. Your continued use after changes take effect constitutes acceptance of the new Terms.

17. Termination

We may suspend or terminate your account at any time, with or without cause, and without liability. Upon termination, all rights granted to you will cease, but our rights to User Content, data, and accrued fees will survive.
